CANADA 150 CELEBRATIONS

OFFICIAL RULES (“Official Rules”)

NO PURCHASE NECESSARY.

1. Eligibility: The Canada 150 Celebrations Contest (the “Contest”) is open to all legal residents of Canada who are eighteen (18) years of age or older at the time of entry, and who have Internet access, a Facebook account or an Instagram account. Judges, employees of Weber-Stephen Canada Co. (“Weber”), and its parent companies, affiliates, subsidiaries, and agencies, and the immediate family members (spouse, parent, sibling, child) and/or those living in the same household of each such employee are not eligible to enter the Contest. The Contest is subject to all applicable federal, provincial, and local laws and regulations and is void where prohibited by law.

2. Sponsor and Administrator: Weber-Stephen Canada Co., 1 Roybridge Gate, Vaughan, Ontario L4H 4E6. This Contest is in no way sponsored, endorsed or administered by, or associated with Facebook or Instagram.

3. Agreement to Official Rules: By entering the Contest, entrant fully and unconditionally agrees to and accepts these Official Rules and the decisions of Weber, which are final and binding in all matters related to the Contest. In order to be selected as an entrant, all requirements outlined herein must be met.

4. Timing: The Contest begins on April 4, 2017 at 12:00PM Eastern Standard Time (“EST”) and ends on July 1, 2017 at 11:59PM EST (the “Contest Period”); Weber’s computer is the official time-keeping device for the Contest.

5. How to Enter:

Instagram: During the Contest Period, (1) visit Weber’s Instagram page at www.instagram.com/webergrillsca and post a photo of your favourite grilled food/dish that represents your roots; (2) submit your entry by posting the photo with the hashtags #Canada150Celebrations and #Contest and by tagging Webergrillsca in the post.
Facebook: During the Contest Period, (1) visit Weber’s Facebook page at https://www.facebook.com/webergrillsca, where you will find a post asking the entrant to post a photo of their favourite grilled food/dish that represents their roots, which may be posted multiple times during the Contest Period (the “Prompt Post”; (2) submit your entry by posting a response to the Prompt Post in the comments section associated with the Facebook post or by posting to Weber’s timeline with the hashtags #Canada150Celebrations and #Contest and by tagging Webergrillsca in the post.
Entry by either of the aforementioned methods is referred to as an “Entry”. These are the only two methods of submitting an Entry. All Entries will be displayed on Weber’s respective social media pages. However, Weber reserves the right, in its sole discretion, to remove any Entry that it considers not to comply with these rules or for any other reason it deems sufficient. In addition to the general conditions outlined in Section 11, Weber, in its sole discretion, may terminate the Contest at any time during the Contest Period, but before a winner is selected. No group Facebook accounts may be used to enter the Contest. Proof of sending or submission of a response is not proof of receipt by Weber. All entries become the exclusive property of Weber, and no entries will be acknowledged or returned. Entrant acknowledges that, while Weber may encourage “sharing” of the Facebook post or link, Entrant is in no way required to do so in order to enter the Contest.
Entrants will be permitted an unlimited number of entries during the Contest Period, provided that only accessories can be won multiple times by one entrant, and one entrant cannot win multiple Canada Beef prize packs and Weber® Grills. Proof of entry will not be deemed to be proof of receipt by Weber. Entrant acknowledges that other Entrants may have used ideas or concepts in their Entry that may be similar to ideas or concepts used in Entrant’s Entry. Entrant understands and agrees that he/she shall not be entitled to any compensation or other relief by reason of Entrant’s use of ideas or concepts similar to those in Entrant’s Entry. Weber reserves the right to modify, in its sole discretion, any Entry that it selects as a winning Entry, other than as it displays on its website or social media pages.

6. Content:

Entry must not contain any content that violates, misappropriates, or infringes on any law or regulation or the rights of any third party, including, without limitation, copyright, trademark, privacy, intellectual property or proprietary rights;
Entry must not disparage any person or entity;
Entry must not contain content that is inappropriate, indecent, obscene, hateful, tortious, or defamatory;
Entry must not contain content that promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, gender, religion, nationality, disability, sexual orientation, or age;
Entry must not contain content that is unlawful or in violation of the laws or regulations of the territory where the Entry was created.

7. Winner Selection and Prize: The Contest will be administered, and the winners, the numbers of which are outlined below, will be chosen by a panel of judges appointed by Weber based on the creativity, originality and general interest of the Entry, as determined by the judges in their sole discretion. The winner selections are final and binding in all matters relating to the Contest. Weber will select the winners in accordance with the schedule below, at the Company’s head office: (date) at (time) at (place) (address as outlined above). The odds of winning depend on the number of eligible entries received during the Contest Period. Prizes will be delivered by Weber (or Canada Beef if it is one of their prizes) to the winners (Monday-Friday 8am-5pm EST) at the address they provide in their response; they must accept their prize within six (6) weeks of prize acceptance.

On April 28, at or about 12:00PM EST (including all entries received by April 22 at 12PM EST): ten (10) secondary winners will receive one (1) iGrill® mini digital thermometer (ARV $79.99 each); forty (40) secondary winners will receive one (1) Weber® stainless steel grilling basket (ARV $14.99 each); one (1) winner will receive: (i) one (1) Weber® Genesis® II E-210™ LP gas grill (ARV $749.00) and (ii) one (1) Canada Beef Prize Pack consisting of one (1) apron, one (1) cutting board, one (1) freezer bag, one (1) thermal meal bag, one (1) basting brush and one (1) mini cookbook (ARV $50.00 for each prize pack).
On May 31, at or about 12:00PM EST (including all entries received by May 25 at 12PM EST): fifty (50) secondary winners will receive one (1) Weber® instant read thermometer (ARV $15.99 each); one (1) winner will receive: (i) one (1) Weber® Genesis® II E-310™ LP gas grill (ARV $949.00) and (ii) one (1) Canada Beef Prize Pack consisting of one (1) apron, one (1) cutting board, one (1) freezer bag, one (1) thermal meal bag, one (1) basting brush and one (1) mini cookbook (ARV $50.00 for each prize pack).
On June 26, at or about 12:00PM EST (including all entries received by June 24 at 12PM EST): fifty (50) secondary winners will receive one (1) hamburger press (ARV $16.99 each); and one (1) winner will receive: (i) one (1) Weber® Genesis® II E-410™ LP gas grill (ARV $1,299.00) and (ii) one (1) Canada Beef Prize Pack consisting of one (1) apron, one (1) cutting board, one (1) freezer bag, one (1) thermal meal bag, one (1) basting brush and one (1) mini cookbook (ARV $50.00 for each prize pack).
On July 14, at or about 12:00PM EST (including all entries received by July 1 at 11:59PM EST): one (1) grand prize winner will receive one (1) Genesis® II E-610™ LP gas grill (ARV $1,699.00); and one (1) Canada Beef Prize Pack consisting of one (1) apron, one (1) cutting board, one (1) freezer bag, one (1) thermal meal bag, one (1) basting brush and one (1) mini cookbook (ARV $50.00 for each prize pack).

8. Winner Requirements: Weber will notify the winner of each prize by replying to the corresponding winning Entry and will ask the potential winner to send a private message to Weber. Weber will require each winner to confirm their acceptance of the prize, name, address, email address, and telephone number. If no response is received within three days, Weber will attempt to select an alternate winner in accordance with the criteria outlined in Part 7. Weber may also, as an alternative, award the prize by a random draw from among all eligible Entries received, in accordance with applicable laws, including the requirement to answer a mathematical skill-testing question. Weber will announce on its Facebook page the winner’s name and address (city, province). By submitting their Entry, the winner agrees to accept the prize for their personal use, and they undertake not to sell it or transfer the use of any part of the prize for consideration.

9. Publicity and Permission: Acceptance of a prize by a winner constitutes permission for Weber to use the winner’s name, address (city and province), likeness, and prize information for contextual purposes, worldwide, including on the Internet, without limitation and without further payment or consideration, except where prohibited by law. Acceptance of any prize shall constitute winner’s waiver of any right or interest in the Entry, pictures, interviews, or any other publicity materials associated with the Contest, and winner irrevocably assigns to Weber any and all rights, title, and interest in any such publicity materials for unlimited use in any media. By submitting an Entry, Entrant grants Weber (and Weber’s licensees, affiliates, subsidiaries, agents, and assignees) a worldwide, fully paid, royalty-free, irrevocable, perpetual, sublicensable, and transferable license to use, copy, modify, publish, create derivative works from, and distribute such Entry in whole or in part, and to otherwise use the Entry in any and all media now known or hereafter devised, in any and all manners, anywhere in the universe, by any means Weber deems appropriate, including, without limitation, for purposes of entertainment, instruction, education, promotion, advertising, and marketing, all for an unlimited period of time and without compensation. In connection with all rights granted under these Official Rules, Weber (and Weber’s licensees, affiliates, subsidiaries, agents, and assignees), will also have the irrevocable right to incorporate Entries, in whole or in part, into any other works, in any form, media, or technology now known or hereafter developed. If necessary, Entrant will sign any documentation that may be required for Weber or its designees to make use of the non-exclusive rights Entrant is granting to use the Entry.

10. General Conditions: If the Contest is impaired in any way for any reason, including, but not limited to fraud, virus, or other technical problem, Weber may, in its sole discretion: (a) suspend the Contest to address the impairment and then resume the Contest in a manner that best conforms to the spirit of these Official Rules; (b) award the prize by random draw from among all eligible entries received up to the time of the impairment, in accordance with applicable laws, including the requirement to answer a multi-part mathematical skill-testing question. Weber reserves the right to disqualify, in its sole discretion, any individual who tampers with the entry process or the operation of the Contest or who violates these Official Rules or any other promotion or acts in an unsportsmanlike or disruptive manner. Any attempt by any person to undermine the legitimate operation of the Contest may be a violation of criminal and civil law; should such an attempt be made, Weber reserves the right to seek damages from any such person to the fullest extent permitted by law. Weber’s failure to enforce any term of these Official Rules shall not constitute a waiver of that term. Prizes are subject to availability. If a prize is not available, Weber may, in its sole discretion, replace it with another prize of equal or greater value. Furthermore, a winner cannot substitute the prize for another prize, including its cash value. Winners will be solely responsible for all tax obligations arising from the acceptance of a prize.

11. Release and Limitations of Liability: Except where prohibited, by participating in the Contest, entrants agree to release and hold harmless Facebook, Instagram, Weber, and their respective affiliates and subsidiaries, and their respective officers, directors, employees, and agents (the “Released Parties”) from and against any claim or cause of action arising out of participation in the Contest or receipt or use of any prize, including, but not limited to: (a) unauthorized human intervention in the Contest; (b) technical errors related to computers, servers, providers, or telephone or network lines; (c) printing errors or typographical errors associated with any Entry; (d) errors in the administration of the Contest or the processing of Entries; (e) interruption of Contest, losses, injuries, or damages to persons or property that may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Contest or receipt of any prize. Entrant further agrees that in any cause of action, the Released Parties’ liability will be limited to the cost of entering and participating in the Contest, and in no event shall the Released Parties be liable for attorneys’ fees. Entrant waives the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages. IF IT IS CONFIRMED THAT AN ENTRANT’S ENTRY WAS ERRONEOUSLY DELETED, LOST, OR OTHERWISE DESTROYED OR DAMAGED FOR ANY REASON, THE ENTRANT’S SOLE REMEDY IS TO RE-ENTER THE CONTEST, PROVIDED THAT, IF IT IS NOT POSSIBLE TO ACCEPT A NEW ENTRY FOR ANY REASON, WEBER MAY, AT ITS SOLE DISCRETION, DECIDE TO HOLD A RANDOM DRAW FROM AMONG ALL ELIGIBLE ENTRIES RECEIVED UP TO THE DATE OF CANCELLATION FOR ANY PRIZE OFFERED UNDER THESE OFFICIAL RULES. THE NUMBER OF PRIZES AWARDED WILL NOT EXCEED THE NUMBER STATED.

12. Disputes: Entrant agrees that: (a) any and all disputes, claims, and causes of action arising out of or connected with this Contest or any prizes awarded shall be resolved individually, without resort to any form of class action, by the courts of Quebec, District of Montreal, and the parties irrevocably submit to the jurisdiction of said courts for any suit, action, or proceeding and waive any objection to the jurisdiction of said courts or to the fact that Quebec constitutes the appropriate jurisdiction. (b) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Contest, but in no event attorneys’ fees; and (c) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, punitive, incidental, and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, or the rights and obligations of the entrant and Weber in connection with the Contest, shall be governed by, and construed in accordance with, the laws of the Province of Quebec and the applicable laws of Canada, without giving effect to any choice of law or conflict of law rules or provisions (whether of the Province of Quebec or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the Province of Quebec. Any dispute as to the organization or conduct of this Contest in Quebec may be submitted to the Régie des alcools, des courses et des jeux (the Régie) for settlement. Any dispute as to the awarding of a prize may be submitted to the Régie only for the purpose of helping the parties reach an agreement.

13. Privacy: Information collected from entrants is subject to Weber’s Privacy Policy, which is available at www.weber.com.
